Terms of Service

1. Acceptance of Terms

By accessing or using YieldLayer ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. The Platform is operated by YieldLayer ("we", "us", "our"), and these terms govern your use of all services, features, and content offered.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. You represent that you are not a resident of, or located in, any jurisdiction where use of the Platform is prohibited by applicable law, including jurisdictions subject to sanctions by the United States, the European Union, or the United Kingdom.

3. The Service

YieldLayer provides an automated trading platform that executes cross-venue arbitrage strategies between prediction markets and betting exchanges. Users deposit funds (USDC) which are deployed by our proprietary trading bots across Polymarket, Kalshi, and Betfair Exchange.

3.1. Performance Fee

We charge a 20% performance fee on net profits, calculated via high water mark. This means we only earn fees on new profits exceeding your previous peak balance. No management fees, subscription fees, or deposit fees are charged.

3.2. No Guarantees

Past performance does not guarantee future results. YieldLayer does not guarantee any specific rate of return, and trading involves risk of loss. Users may lose part or all of deposited funds.

4. Deposits and Withdrawals

Deposits are accepted in USDC only. Withdrawals are processed within 48 hours of request, subject to position settlement times. YieldLayer reserves the right to delay withdrawals if funds are actively deployed in open positions, until such positions are settled.

Minimum deposit: $500 USDC equivalent. There is no maximum deposit limit, but YieldLayer reserves the right to impose limits at its discretion.

5. User Obligations

• You must provide accurate and complete information during registration and maintain its accuracy.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree not to use the Platform for any illegal purpose or in violation of applicable laws.
• You agree not to attempt to reverse-engineer, hack, or compromise the Platform's systems.

6. Intellectual Property

All content, software, algorithms, and technology on the Platform are the exclusive property of YieldLayer. You are granted a limited, non-transferable license to access and use the Platform in accordance with these terms.

7. Limitation of Liability

To the maximum extent permitted by law, YieldLayer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform. Our total liability shall not exceed the amount of fees you have paid to YieldLayer in the 12 months preceding the claim.

8. Risk Acknowledgment

By using the Platform, you acknowledge that you have read, understood, and accepted our Risk Disclosure. Trading involves substantial risk of loss and is not suitable for all investors.

9. Termination

YieldLayer may suspend or terminate your access to the Platform at any time, with or without cause, upon notice. Upon termination, your deposited funds (less any outstanding fees) will be returned to you within 30 days, subject to open position settlement.

10. Governing Law

These terms are governed by the laws of the United Arab Emirates. Any dispute arising from these terms shall be resolved through binding arbitration in accordance with the UAE Arbitration Law (Federal Law No. 6 of 2018).

11. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the modified terms.
